INDIANA PACERS BIKESHARE TERMS AND CONDITIONS, RIDER’S RELEASE OF LIABILITY, ASSUMPTION OF RISK, INDEMNITY AND HOLD HARMLESS. Rider should CAREFULLY READ all terms and conditions before entering this Agreement.

1. Purpose of Agreement
This document constitutes the entire Agreement (“Agreement”) between (a) Rider, the person agreeing to lease and use the bike (“Bike”) including electric bikes (e-bikes) and classic bikes (non-electric bikes), and (b) Indianapolis Cultural Trail, Inc. (ICT, Inc.) (“ICT, Inc.”).

2. General Use of Bike: Agreements and Restrictions

2.1 Rider is sole user: ICT, Inc. expressly agrees to let, and the Rider expressly agrees to take on, use of the Bike subject to the terms and conditions set out herein. ICT, Inc. and the Rider are the only parties to this Agreement. The Rider is the sole lessee and is solely responsible for compliance with all terms and conditions contained herein.

2.2 Rider is 18 or older: Rider represents and certifies to ICT, Inc. that Rider is at least 18 years old. If Rider intentionally or unintentionally misrepresents Rider’s age, Rider accepts full responsibility and is liable for any consequence, claims, demands, causes of action, losses, liabilities, damages, injuries, costs and expenses, penalties, attorney’s fees, judgments, suits or disbursements of any kind or nature whatsoever related to any such intentional or unintentional misrepresentation.

2.3 Rider is a competent bike operator: Rider represents and certifies that he/she is physically fit to ride the Bike and also that Rider is familiar with the operation of the Bike, and is reasonably competent to ride the Bike.

2.4 Bike is an exclusive property of ICT, Inc in partnership with the City of Indianapolis. : Rider agrees that the Bike and any equipment attached thereto, at all times, remains the exclusive property of ICT, Inc. in partnership with the City of Indianapolis. Rider will not make any type of modification to the Bike at any time.

2.5 Bike Operating Hours and Bike Availability: Rider agrees and acknowledges that the Bikes are available 24 hours a day, 365 days a year. Bikes must be rented within the maximum check out time limits set forth in 2.6 below. Bikes are limited and Bike Stations may not have available Bikes for check out at all times. To check the availability of Bikes, please refer to the station locations and Bike availability on www.pacersbikeshare.org, on in the BCycle mobile application.

2.6 Maximum Check Out Time and Charges: The maximum check out time for one trip is four (4) hours. Rider agrees that Rider will return the Bike to a designated ICT, Inc. Pacers Bikeshare station within no more than four (4) hours from the time the bike is checked out of the bikeshare station. Rider may then rent again. Rider agrees that he/she is solely responsible for being aware of any elapsed time related to the timely return. Pricing includes but is not limited to: Annual Pass is $150.00 plus tax which provides unlimited 60 minute trips for a twelve month period and $0.25 per minute for any and all minutes over 60 minutes. Anyone who uses Pacers Bikeshare and is NOT an annual pass holder is considered a walk up user. Walk up users are charged $5.00 to check out an e-bike and $0.25 per minute for the duration of the trip and $2.00 to check out a classic bike and $0.20 per minute for the duration of the trip. The maximum charge for one trip on a bike is $500.00 and is based on a twenty four (24) hour period. Upon return of the Bike, the Rider will be charged the accumulated charges for the total duration of the time they had checked out the bike, or the maximum day charge; whichever is less. If the Bike is not returned within four (4) hours, it will be considered stolen and Rider will be charged $4,000.00 for an e-bike and $1500.00 for a classic bike.

Bike Abandonment. If ICT, Inc. determines, at its discretion, that a Bike has either (i) been abandoned or (ii) left in a position or location that causes ICT staff to retrieve the Bike from anywhere other than a bikeshare station, the rider will be charged a bike abandonment fee of $50.00.

Taxes. Applicable local and state sales tax of 7.0% is charged in addition to all charges. ICT, Inc reserves the right to pre-authorization check done on electronic payments to ensure payment is available for using bikeshare. The pre-authorization amount is typically returned to the rider’s account within 5 business days by the rider’s bank. The time period in which the funds are returned to the rider’s account is determined by the rider’s banking institution, not ICT Inc.

2.7 Bike may be used and/or operated only in the City of Indianapolis and Marion County, Indiana. Rider agrees to only use, operate and/or ride the Bike in the City of Indianapolis and Marion County, Indiana. Rider will not, under any circumstances, remove the Bike from the City of Indianapolis and Marion County, Indiana.

2.8 Rider must follow rules of use and/or operation of Bike: Rider agrees to follow all laws pertaining to the use, riding and/or operation of the Bike, including all state and local laws and the rules and regulations pertaining to bicycles in the City of Indianapolis and State of Indiana.

2.9 Rider must not use, ride and /or operate Bike if impaired: Rider agrees that he/she will not, under any circumstances, use, ride and/or operate the Bike if he/she has consumed, ingested and/or used alcohol or drugs and/or has a blood concentration above the jurisdictional limit prescribed.

2.10 Bike is intended for only limited types of use: Rider agrees that he/she will not use the Bike for racing, mountain bike riding, stunt, or trick riding. Rider agrees that he/she will not operate and/or use the Bike on unpaved roads, through water, or in any location that is prohibited, illegal and/or a nuisance to others. Rider agrees that he/she will not use the Bike for hire or reward, nor use it in violation of any law, ordinance, or regulation.

2.11 Rider’s use of the front carrier/basket is limited: Rider agrees that he/she will not fill the front carrier/basket with heavy items as they may create an unsafe condition and affect Rider’s balance and steering control. Rider acknowledges that the front carrier/basket of the Bike is intended to carry light goods only, and will not carry additional people or animals in the basket or anywhere on the Bike.

2.12 Rider must report accident, stolen or lost Bike and/or BCycle Membership Card: Rider agrees that he/she must immediately report to ICT, Inc. and the Indianapolis Metropolitan Po- lice Department an accident, involving a Bike. Rider agrees that he/she will report a lost/ stolen Pacers Bikeshare Member Card to ICT, Inc. Rider agrees that he/she is responsible and liable for any misuse, consequences, claims, demands, causes of action, losses, liabilities, damages, injuries, costs and expenses, penalties, attorney’s fees, judgments, suits or disbursements of any kind or nature whatsoever related to a stolen or lost Bike and/or BCycle Membership Card.

2.13 Rider responsibility related to Bike use and damage: Rider agrees to return the Bike to ICT, Inc. in the same condition received, ordinary wear and tear expected. Rider agrees to ensure that the Bike is always locked and secured when unattended. Bikes may be equipped with cable locks; however, ICT, Inc. will not be responsible for any lost, stolen, destroyed and/ or damaged Bike under any circumstances, regardless of whether Bike locks are used, broken or not properly functioning. Rider agrees to pay for any damage, including replacement parts, to and/or destruction or loss of the Bike (Rider agrees to pay for any loss even though damage was caused by someone else). All repairs needed as a result of any such loss, destruction or damage will be performed at the normal labor rates. In the event the Bike is lost, destroyed
or damaged beyond repair, regardless of fault or cause, Rider agrees to pay ICT, Inc. the full replacement value of the equipment.

3. Waiver and/or Limitation of Liability

3.1 For and in consideration of use of the Bike, Rider specifically forever releases and relinquishes and discharges ICT, Inc., B-cycle, LLC, the City of Indianapolis, all Sponsors as well as owners of property upon or near which stations are located (“Released Parties”) from any and all claims, liability, cause (s) of action and/or damage or wrongful death, injury to others and/or third parties, which arise out of, result from or relate to this Agreement; the maintenance, design, use and/or operation of the Bike; the B-cycle program, and/or its website, including any and all claims, liability, cause(s) of action and/or damages related to the sole or partial negligence of Released Parties and/or the negligence of others. By this Agreement any such claims, rights, and causes of action that Rider (and Rider’s legal guardian(s), if applicable) may have are hereby waived, released and relinquished, and Rider (and guardian(s), if applicable) does(do) so on behalf of Rider’s heirs, executors, administrators and assigns. The Released Parties shall expressly include, without limitation, The Herbert Simon Family Foundation, Pacers Basketball, LLC, their respective, parents, subsidiaries, af- filiates, and related entities as well as each of the aforementioned parties’ respective officers, directors, officials, shareholders, owners, members, partners, employees, agents, trustees, trust beneficiaries, successors and assigns and all other persons, entities, firms or corporations with whom any of the foregoing have been, are now, or may hereafter be affiliated and theirs, assigns and successors.

3.2 Rider expressly agrees to indemnify, release and hold harmless Released Parties from all liability for any such property loss or damage, personal injury or loss of life, whether caused by the sole or partial negligence of ICT, Inc., the Released Parties and/or the negligence of others, whether based upon breach of contract, breach of warranty, active or passive negligence or any other legal theory, in consideration for using and/or operating the Bike.

3.3 Rider voluntarily agrees not to sue Released Parties, understands and recognizes that Rid- er will have no right to make a claim or file a lawsuit against Released Parties arising out of this Agreement, maintenance, design, use and/or operation of the Bike, the Indianapolis B-Cycle program, Indiana Pacers Bikeshare and/or this website, in consideration for using and/or operating the Bike.

3.4 This Agreement is governed by the applicable laws of Indiana. If any provision of this Agreement is found to be unenforceable, all other provisions will be given full force and effect.

4. Acceptance of Agreement and Terms and Conditions by Rider: Rider expressly acknowledges that he/she has carefully read the entire Agreement, including the Terms and Conditions, and understands this Agreement, including, but not limited to, the Waiver of Liability, Assumption of Risk and Indemnification Provisions fully and expressly agrees to be bound by this Agreement. After careful deliberation, Rider voluntarily gives his/her consent and expressly agrees to all the conditions included in this Agreement as set forth above. Rider has read, understands and expressly agrees to the above Agreement and Terms and Conditions. This Agreement is effective April 10th, 2025.

TÉRMINOS Y CONDICIONES DE INDIANA PACERS BIKESHARE, LIBERACIÓN DE RESPONSABILIDAD POR PARTE DEL CICLISTA, ASUNCIÓN DE RIESGOS, INDEMNIZACIÓN Y EXENCIÓN DE RESPONSABILIDAD. El Ciclista debe LEER CON ATENCIÓN todos los términos y condiciones antes de suscribir el presente Acuerdo.

1. Objeto del Acuerdo
Este documento constituye el acuerdo completo (el “Acuerdo”) entre (a) el Ciclista, la persona que acepta alquilar y utilizar la bicicleta (la “Bicicleta”), incluidas las bicicletas eléctricas (e‑bikes) y las bicicletas clásicas (bicicletas no eléctricas), y (b) Indianapolis Cultural Trail, Inc. (ICT, Inc.) (“ICT, Inc.”).

2. Uso general de la Bicicleta: Acuerdos y restricciones

2.1 El Ciclista es el único usuario: ICT, Inc. acuerda expresamente ceder, y el Ciclista acuerda expresamente asumir, el uso de la Bicicleta, de acuerdo con los términos y condiciones estipulados en el presente documento. ICT, Inc. y el Ciclista son las únicas partes de este Acuerdo. El Ciclista es el único arrendatario y es el único responsable del cumplimiento de todos los términos y condiciones que aquí se especifican.

2.2 El Ciclista es mayor de 18 años: El Ciclista declara y certifica a ICT, Inc. que tiene al menos 18 años de edad. Si el Ciclista declara falsamente su edad de forma intencionada o no intencionada, el Ciclista acepta toda la responsabilidad y es responsable de cualquier consecuencia, reclamación, demanda, derecho de iniciar acción, pérdida, obligación, daños y perjuicios, lesiones, costos y gastos, sanciones, honorarios de abogados, juicios, demandas o gastos de cualquier tipo o naturaleza relacionados con dicha declaración falsa intencionada o no intencionada.

2.3 El Ciclista sabe manejar la bicicleta con destreza: El Ciclista declara y certifica que tiene la aptitud física necesaria para conducir la Bicicleta, que sabe también cómo funciona, y que tiene las habilidades adecuadas para conducir la Bicicleta.

2.4 La Bicicleta es propiedad exclusiva de ICT, Inc., en asociación con la ciudad de Indianápolis. El Ciclista acepta que la Bicicleta y todos los equipos que la acompañan seguirán siendo, en todo momento, propiedad exclusiva de ICT, Inc., en asociación con la ciudad de Indianápolis. El Ciclista no realizará jamás modificaciones de ningún tipo en la Bicicleta.

2.5 Horario de uso y disponibilidad de la Bicicleta: El Ciclista acepta y reconoce que las Bicicletas están disponibles las 24 horas del día, los 365 días del año. Las Bicicletas deben alquilarse respetando los límites máximos de tiempo de alquiler establecidos en el punto 2.6 más abajo. Las Bicicletas son limitadas y es posible que las estaciones de bicicletas no siempre tengan Bicicletas disponibles para retirar. Para verificar la disponibilidad de las Bicicletas, puede consultar las ubicaciones de las estaciones y la disponibilidad de las Bicicletas en www.pacersbikeshare.org, o en la aplicación móvil BCycle.

2.6 Plazo máximo de alquiler y tarifas: El plazo máximo de alquiler para un recorrido es de cuatro (4) horas. El Ciclista acepta entregar la Bicicleta en una de las estaciones designadas por ICT, Inc. de Pacers Bikeshare a más tardar a las cuatro (4) horas siguientes a su retiro de la estación de bicicletas de uso compartido. El Ciclista puede volver después a alquilar. El Ciclista acepta que es el único responsable de controlar el tiempo transcurrido para garantizar la devolución puntual. Las tarifas incluyen, entre otras: El pase anual cuesta $150.00 más impuestos y ofrece recorridos ilimitados de 60 minutos durante un período de doce meses, y $0.25 por minuto por cada minuto que supere los 60 minutos. Todas las personas que utilicen Pacers Bikeshare y NO sean titulares de un pase anual se consideran usuarios ocasionales. A los usuarios ocasionales se les cobra una tarifa de $5.00 por alquilar una bicicleta eléctrica y $0.25 por minuto durante el recorrido en bicicleta, y una tarifa de $2.00 por alquilar una bicicleta clásica y $0.20 por minuto durante el recorrido. Si la Bicicleta no se devuelve en un plazo de cuatro (4) horas, se considerará que ha sido robada y se cobrará al Ciclista la cantidad de $4,000.00 por una bicicleta eléctrica y de $1500.00 por una bicicleta clásica.

Abandono de la Bicicleta. Si ICT, Inc. determina, a su discreción, que una Bicicleta (i) fue abandonada o (ii) se dejó en un sitio o una ubicación que obliga al personal de ICT a ir a buscarla a un lugar distinto a una estación de bicicletas de uso compartido, se cobrará al Ciclista una tarifa por abandono de bicicleta de $50.00.

Impuestos. Al precio total se agrega el impuesto local y estatal sobre las ventas correspondiente del 7.0 %. ICT, Inc. se reserva el derecho de verificar previamente los pagos electrónicos antes de su autorización para garantizar que el servicio de bicicletas compartidas se pueda pagar. Por lo general, el Banco del Ciclista le reintegrará el importe de la preautorización en su cuenta dentro de los 5 días hábiles siguientes. La institución bancaria del ciclista, y no ICT Inc., es la que determina el plazo en el que los fondos se reintegran a la cuenta del Ciclista.

2.7 La Bicicleta solo puede usarse y manejarse en la ciudad de Indianápolis y el condado de Marion, Indiana. El Ciclista se compromete a utilizar, manejar y conducir la Bicicleta únicamente en la ciudad de Indianápolis y el condado de Marion, Indiana. El Ciclista no sacará, bajo ninguna circunstancia, la Bicicleta de la ciudad de Indianápolis y del condado de Marion, Indiana.

2.8 El Ciclista debe cumplir las normas de uso y manejo de la Bicicleta: El Ciclista se compromete a cumplir todas las leyes relativas al uso, la conducción y el manejo de la Bicicleta, lo que incluye todas las leyes estatales y locales, así como las normas y reglamentos aplicables a las bicicletas en la ciudad de Indianápolis y el estado de Indiana.

2.9 El Ciclista no debe utilizar, conducir ni manejar la Bicicleta si se encuentra impedido para ello: El Ciclista acepta que, bajo ninguna circunstancia, utilizará, conducirá ni manejará la bicicleta si ha consumido, ingerido o utilizado alcohol o drogas, o si tiene una concentración en sangre superior al límite establecido legalmente en la jurisdicción.

2.10 Existen limitaciones para el uso de la Bicicleta: El Ciclista se compromete a no utilizar la Bicicleta para correr carreras, practicar ciclismo de montaña, hacer acrobacias o realizar maniobras peligrosas. El Ciclista acepta que no manejará ni utilizará la Bicicleta en caminos sin pavimentar, en el agua, o en ningún lugar en el que esté prohibido, sea ilegal o moleste a otras personas. El Ciclista acepta que no utilizará la bicicleta con fines lucrativos ni infringirá ninguna ley, ordenanza o normativa.

2.11 El uso de la cesta o el soporte delantero por parte del Ciclista está limitado: El Ciclista se compromete a no llenar la cesta o el soporte delantero con objetos pesados, ya que podrían crear un riesgo para la seguridad y afectar al equilibrio del Ciclista y su control del manubrio. El Ciclista reconoce que la cesta o el soporte delantero de la Bicicleta se diseñó únicamente para transportar objetos livianos, y que no transportará a otras personas ni animales en la cesta ni en ninguna otra parte de la Bicicleta.

2.12 El Ciclista debe denunciar cualquier accidente, robo o pérdida de la Bicicleta o de la tarjeta de afiliación a B-cycle: El Ciclista se compromete a notificar de inmediato a ICT, Inc. y al Departamento de Policía Metropolitana de Indianápolis cualquier accidente relacionado con una Bicicleta. El Ciclista se compromete a informar a ICT, Inc. sobre la pérdida o el robo de su tarjeta de afiliación a Pacers Bikeshare. El Ciclista acepta que será responsable por el uso indebido, las consecuencias, reclamaciones y demandas, los derechos de iniciar acción, las pérdidas y obligaciones, los daños y perjuicios, las lesiones, los costos y gastos, las sanciones, los honorarios de abogados, las sentencias y demandas, o los gastos de cualquier tipo o naturaleza relacionados con el robo o la pérdida de la Bicicleta o la tarjeta de afiliación a B-cycle.

2.13 Responsabilidad del Ciclista en relación con el uso de la Bicicleta y los daños ocasionados: El Ciclista se compromete a devolver la Bicicleta a ICT, Inc. en las mismas condiciones en que la recibió, salvo el desgaste normal por el uso. El Ciclista se compromete a garantizar que la Bicicleta siempre esté cerrada con candado y asegurada cuando la deje sin vigilancia. Las Bicicletas pueden contar con candados de cable; sin embargo, ICT, Inc. no se hará responsable bajo ninguna circunstancia por la pérdida, el robo, la destrucción o los daños que puedan sufrir las Bicicletas, independientemente de si se utilizan candados para Bicicletas, si estos están rotos o si no funcionan correctamente. El Ciclista se compromete a pagar todos los daños, incluidas las piezas de recambio, ocasionados a la Bicicleta, así como su destrucción o pérdida (el Ciclista se compromete a pagar por cualquier pérdida, incluso si los daños fueron causados por otra persona). Todas las reparaciones que sean necesarias a consecuencia de dicha pérdida, destrucción o daño se llevarán a cabo con arreglo a las tarifas habituales de mano de obra. En caso de pérdida, destrucción o daño irreparable de la Bicicleta, con independencia de la causa o de quién tuvo la culpa, el Ciclista se compromete a pagar a ICT, Inc. el valor total de reemplazo del equipo.

3. Exención y limitación de responsabilidad

3.1 Como contraprestación por el uso de la Bicicleta, el Ciclista exime, exonera y libera de forma específica y para siempre a ICT, Inc., B-cycle, LLC, la ciudad de Indianápolis, todos los patrocinadores, así como los propietarios de los inmuebles en los que se encuentran las estaciones o que estén cerca de ellas (“Partes exoneradas”) de cualesquiera y todas las reclamaciones, obligaciones, derechos de iniciar acción, daños y perjuicios, muertes por negligencia, lesiones a terceros o a otras personas, que se relacionen con o se deriven o sean consecuencia de este Acuerdo; el mantenimiento, diseño, uso o manejo de la Bicicleta; el programa B-cycle o su sitio web, incluidas todas y cada una de las reclamaciones, obligaciones, derechos de iniciar acción o daños y perjuicios relacionados con la negligencia exclusiva o parcial de las Partes exoneradas o la negligencia de terceros. En virtud del presente Acuerdo, se renuncia y desiste de cualquier reclamación, derecho y derecho de iniciar acción que el Ciclista (y el/los tutor/es legal/es del Ciclista, si procede) pueda/n tener, y el Ciclista (y su/s tutor/es, si procede) lo hace en nombre de los herederos, albaceas, administradores y cesionarios del Ciclista. Las Partes exoneradas incluirán expresamente, entre otras, a The Herbert Simon Family Foundation, Pacers Basketball, LLC, sus respectivas empresas matrices, subsidiarias, afiliadas y entidades relacionadas, así como a cada uno de los respectivos funcionarios, directores, responsables, accionistas, propietarios, miembros, socios, empleados, agentes, fideicomisarios, beneficiarios de fideicomisos, sucesores y cesionarios de las partes antes mencionadas y todas las demás personas, entidades, empresas o sociedades con las que cualquiera de las anteriores haya estado, esté en la actualidad o pueda estar relacionada en el futuro, así como sus cesionarios y sucesores.

3.2 El Ciclista acepta expresamente exonerar de toda responsabilidad a las Partes exoneradas por cualquier pérdida o daño material, lesión personal o pérdida de vida, ya sea causada por la negligencia exclusiva o parcial de ICT, Inc., las Partes exoneradas o la negligencia de terceros, tanto si se basa en el incumplimiento de contrato, el incumplimiento de garantía, la negligencia activa o pasiva, o cualquier otra doctrina jurídica, como contraprestación por el uso o manejo
de la Bicicleta.

3.3 El Ciclista acepta voluntariamente no demandar a las Partes exoneradas, entiende y reconoce que no tendrá derecho a presentar reclamaciones ni demandas contra las Partes exoneradas por motivos relacionados con el presente Acuerdo, el mantenimiento, el diseño, el uso o el manejo de la Bicicleta, el programa Indianapolis B-cycle, Indiana Pacers Bikeshare o este sitio web, como contraprestación por el uso o manejo de la Bicicleta.

3.4 Este Acuerdo se rige por las leyes vigentes en Indiana. Si alguna de las disposiciones del presente Acuerdo se considera inaplicable, todas las demás disposiciones mantendrán su plena vigencia y eficacia.

4. Aceptación del Acuerdo y de los Términos y Condiciones por parte del Ciclista: El Ciclista reconoce expresamente que ha leído detenidamente la totalidad del Acuerdo, incluidos los Términos y Condiciones, y que comprende este Acuerdo, lo que incluye, entre otras, las disposiciones relativas a la exención de responsabilidad, la asunción de riesgos y la indemnización, y acepta, plena y expresamente, quedar obligado por este Acuerdo. Después de una meditarlo detenidamente, el Ciclista da su consentimiento de forma voluntaria y acepta expresamente todas las condiciones estipuladas en este Acuerdo tal y como se han especificado con anterioridad. El Ciclista ha leído, comprende y acepta expresamente el Acuerdo y los Términos y Condiciones que se recogen más arriba. Este Acuerdo entra en vigor el 10 de abril de 2025.
